When you see a word in bold, it will have the same corresponding meaning every time it\u2019s used within these terms.<\/em><\/p><\/div><\/div><div class=\"wpb_text_column wpb_content_element\"><div class=\"wpb_wrapper\"><ol><li><strong>You and Hectre:<\/strong>\u00a0When we say\u00a0<strong>you<\/strong>\u00a0or\u00a0<strong>your<\/strong>, we mean both you and any entity or firm you\u2019re authorised to represent. When we say\u00a0<strong>Hectre<\/strong>,\u00a0<strong>we<\/strong>,\u00a0<strong>our<\/strong>\u00a0or\u00a0<strong>us<\/strong>, we\u2019re talking about the Hectre entity you contract with and pay fees to based on the Hectre plan you\u2019re using.<\/li><li><strong>Our services:<\/strong>\u00a0Our\u00a0<strong>services<\/strong>\u00a0consist of all the services we provide now or in the future, including our online and mobile platform and software tools such as Spectre.<\/li><li><strong>Creating a subscription:<\/strong>\u00a0When you sign the License Agreement to use our services and accept these terms, you become a\u00a0<strong>subscriber<\/strong>. If you\u2019re the subscriber, you\u2019re the one responsible for paying for your subscription.<\/li><li><strong>People invited to use Hectre:<\/strong>\u00a0An\u00a0<strong>invited user<\/strong>\u00a0is a person other than the subscriber who has been invited to use our services through a subscription. If you\u2019re an invited user, you must also accept these terms to use our services.<\/li><li><strong>User roles and access:<\/strong>\u00a0As a subscriber inviting others into a subscription, you should understand the permissions you\u2019re granting to invited users.<\/li><li><strong>The right to use our services:<\/strong>\u00a0Whether you\u2019re a subscriber or an invited user, we grant you the right to use our services (based on your subscription type, your user role and the level of access you\u2019ve been granted) for as long as the subscriber continues to pay for the subscription, until the subscription is terminated, or \u2013 if you\u2019re an invited user \u2013 until your access is revoked.<\/li><li><strong>Subscriber role:<\/strong>\u00a0As a subscriber, you take responsibility for fully controlling how your subscription is managed and who can access it. For example:<\/li><\/ol><ul><li><ul><li>You control access to a subscription. You decide who\u2019s invited to use our services you\u2019ve subscribed to and what kind of access the invited user has. You can change or stop that access at any time<\/li><li>You\u2019re responsible for resolving any disputes with any invited users over access to your subscription<\/li><li>You\u2019re responsible for all your invited users\u2019 activity<\/li><\/ul><\/li><\/ul><ol start=\"8\"><li><strong>Rules:\u00a0<\/strong>Whatever your role, when you use Hectre you agree to follow the rules outlined below. Please read them and make sure you understand what you should and shouldn\u2019t do. You and your personnel must use the Services only for lawful purposes and in accordance with Hectre\u2019s operating instructions and Terms of Use, as advised from time to time by us or as noted on our website.<\/li><\/ol><p><strong>While we can\u2019t cover everything here, we do want to highlight a few examples of things you\u00a0<u>must not ever<\/u>\u00a0do:<\/strong><\/p><ul><li><ul><li>Undermine the security or integrity of our computing systems or networks.<\/li><li>Use our services in any way that might impair functionality or interfere with other people\u2019s use.<\/li><li>Access any system without permission.<\/li><li>Introduce or upload anything to our services that includes viruses or other malicious code.<\/li><li>Share anything that may be offensive, violates any law, or infringes on the rights of others.<\/li><li>Modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code of any part of our services.<\/li><li>Resell, lease or provide our services in any way not expressly permitted through our services.<\/li><li>Repackage, resell, or sublicense any leads or data accessed through our services.<\/li><li>Resell or make available our services to any third party or otherwise commercially exploit our services for your own gain or that of any third party Commit fraud or other illegal acts through our services.<\/li><li>Act in a manner that is abusive or disrespectful to a Hectre employee, partner, or other Hectre customer. We will not tolerate any abuse or bullying of our Hectre employees in any situation and we\u2019re sure you wouldn\u2019t expect anything less from us.<\/li><\/ul><\/li><\/ul><ol start=\"9\"><li><strong>Your responsibilities:<\/strong>\u00a0You promise that you\u2019ll keep your information (including a current email address) up to date. You\u2019re responsible for providing true, accurate and complete information and for verifying the accuracy of any information that you use from our services for your legal, tax and compliance obligations. You\u2019re also responsible for protecting your username and password from getting stolen or misused. Our service has minimum password standards but you will ensure that passwords are very strong and not easily guessable. The stronger the password the better!<\/li><li><strong>When we introduce new or revised services:<\/strong>\u00a0Since we\u2019re always thinking about how to make Hectre the best it can be \u2013 seriously, our teams are dedicated to just that \u2013 we regularly expand our services. For new or updated services (\u201c<strong>Additional Related Services<\/strong>\u201d), there might be additional terms. We\u2019ll let you know what those terms are before you start using those services. The SaaS and the Additional Related Services are together referred to as the \u201c<strong>Services<\/strong>\u201d.<\/li><li><strong>What we own:<\/strong>\u00a0We own everything we\u2019ve put into our services unless otherwise stated and excluding content owned by others. This includes rights in the design, compilation, and look and feel of our services. It also includes rights in all copyrighted works, trademarks, designs, inventions, and other intellectual property. You agree not to copy, distribute, modify or make derivative works of any of our content or use any of our intellectual property rights in any way not expressly permitted by us. The Hectre SaaS is described in more detail on the\u00a0<a href=\"https:\/\/staging.hectre.com\/es\/\">Hectre<\/a><a href=\"https:\/\/staging.hectre.com\/es\/features\/\">\u00a0website<\/a>. As noted in these Terms of Use, our website may contain amendments to the terms and conditions of use in respect of the SaaS which may also be updated from time to time and are incorporated into this agreement. Hectre agrees to use its reasonable best efforts to provide the Services:<\/li><\/ol><ul><li><ul><li>in accordance with the Licence Agreement and these Terms of Use and applicable local law;<\/li><li>while exercising reasonable care, skill and diligence; and<\/li><li>using suitably skilled, experienced and qualified personnel<\/li><\/ul><\/li><\/ul><ol start=\"13\"><li><strong>Software updates<\/strong>\u00a0(version 2.0, 3.0 etc.) will happen in line with market demand and with the goal of best helping the customers of the Hectre Orchard Management Software at the time that the update is made available.<\/li><li>Our provision of the Services to you is on a\u00a0<strong>non-exclusive<\/strong>\u00a0basis. Nothing in this agreement prevents Hectre from providing the Services to any other person or entity.<\/li><li><strong>Procurement:<\/strong>\u00a0Hectre is responsible for procuring all underlying IT infrastructure, including any third-party software or cloud applications to provide the Services. If you choose not to continue using our services following a trial, no further subscriptions are payable.<\/li><li><strong>Hectre pricing plans:<\/strong>\u00a0Your use of our services requires you to pay an annual subscription fee based on your license agreement (the\u00a0<strong>subscription fee<\/strong>). The\u00a0<strong>pricing plan<\/strong>\u00a0consists of the subscription and subscription fees we offered you, including invoicing, payment, auto-renewal and cancellation terms. As with any other changes to our terms, changes to the pricing plan won\u2019t apply retrospectively and, if we make changes and you\u2019re a subscriber, we\u2019ll notify you by email of these changes. Depending on your region, subscription fees may be inclusive or exclusive of transactional taxes where relevant (like VAT and GST)<u>,<\/u>\u00a0as reflected in your license agreement.<\/li><li><strong><strong>Measurements: <\/strong><\/strong>Prior to signing the License Agreement, you must confirm in writing to Hectre the total tonnes or kilograms that will be subject to the subscription fee. You acknowledge and confirm that the accurate reporting of these measurements, in accordance with this clause, is a material term of this agreement.<p>The subscription fee may vary in the future based on changes in the total tonnes or kilograms under operation. In good faith, you agree to communicate any substantial changes in these measurements to Hectre as they occur.<\/p><\/li><li><strong>Onboarding Fees:<\/strong>\u00a0A one off setup fee may apply to assist with set up of orchard data, payroll administration, and for training your staff for using Hectre. Any Onboarding Fees will be communicated to you in writing.<\/li><li><b data-stringify-type=\"bold\">OMS \u2013 Payroll Export Customisation<\/b><br \/>The first payroll export file is included as part of initial onboarding and is covered in the above fee. Any work done on additional payroll export files beyond the first will be charged the professional services rate of USD $180\/hour. This includes requests for any other summary reports. If rework is due to insufficient diligence by Hectre (i.e. the payroll discovery and scoping misses something), then there will be no charge. If rework is due to incorrect responses, or changing requirements by the customer, then this work will be invoiced.<\/li><li><b data-stringify-type=\"bold\">Spectre \u2013 Application Programming Interface (API)<\/b><br \/>This API integration agreement pertains to services rendered for clients of our Spectre product, who utilize the API to consume data for presentation on internal dashboards and visualization platforms, as well as potential integration with ERPs and inventory products. The services will be billed at a rate of USD $180 per hour, with the total work required for the integration typically ranging from 5 to 15 hours. The specific duration is contingent upon the complexity of the external systems being integrated with. Both parties hereby agree to the hourly rate and acknowledge the potential variation in project duration, with any adjustments subject to mutual discussion and agreement as necessary.<\/li><li><h3><b>Hectre Camera Subscription Terms &amp; Maintenance Policy<\/b><\/h3><p><span style=\"font-weight: 400;\">At Hectre, we aim to provide high value and service through subscription options for our camera hardware. Costs for unauthorized tampering, makeshift repairs, or negligence-related damage will be borne by the customer.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Unauthorized tampering, makeshift repairs, or damage resulting from negligence will void the warranty. Any costs for repair or replacement in such instances will be borne by the client.<\/span><\/li><\/ul><p><b>Case Studies for Clarity:<\/b><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Water Damage: Ensure the usage of Hectre-recommended waterproof seals. We provide comprehensive guidance, including instructions on proper handling, maintenance, and basic troubleshooting of the camera system.<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">For a deeper understanding, clients can request additional training sessions tailored to their needs. Training sessions beyond onboarding may incur additional fees.<\/span><\/p><p><b>22.7 Reporting Issues<\/b><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Customers must promptly report any hardware-related concerns to <\/span><b>support@staging.hectre.com<\/b><span style=\"font-weight: 400;\"> for timely assistance.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Unauthorized tampering or delay in reporting issues may lead to additional charges.<\/span><\/li><\/ul><p><b>22.8 Relocation Policy<\/b><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Clients wishing to relocate their cameras under subscription units must notify Hectre&#8217;s Support Team in advance with certain conditions in place:<\/span><\/li><\/ul><ol><li><b>Prior Notification: <\/b><span style=\"font-weight: 400;\">Before relocating the unit, please inform our Support Team to ensure a seamless transition.<\/span><\/li><li><b>Maintenance Guidelines Adherence:<\/b><span style=\"font-weight: 400;\"> If choosing to relocate the unit yourself, it&#8217;s paramount to strictly follow the Maintenance Guidelines provided by Hectre. This ensures the hardware&#8217;s optimal functionality and longevity.<\/span><\/li><li><b> Liability for Self-Setup:<\/b><span style=\"font-weight: 400;\"> While we empower our clients to move the camera, any damage to the hardware during this process will be the client&#8217;s responsibility. It&#8217;s crucial to be meticulous and follow guidelines to avoid potential damage.<\/span><\/li><li><b>Professional Relocation Service:<\/b><span style=\"font-weight: 400;\"> If you prefer, Hectre offers a relocation service at cost. By opting for this, you ensure that experts handle your equipment, minimizing the risk of damage. Availability dependent.<\/span><\/li><\/ol><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Damage resulting from self-relocation without adherence to provided guidelines will result in liability for repairs or replacements as outlined above.<\/span><\/li><\/ul><p><b>22.9 Termination of Subscription and Return of Equipment<\/b><\/p><p><span style=\"font-weight: 400;\">In the event that a customer decides to terminate their subscription agreement with Hectre, the following terms apply:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><b>Notice Period<\/b><span style=\"font-weight: 400;\">: Customers must provide a written notice at least 120 days prior to the end of the subscription term if they wish to discontinue the agreement.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><b>Return of Equipment:<\/b><span style=\"font-weight: 400;\"> All equipment under subscription must be returned to Hectre in good working condition within 30 days of the subscription expiry date, including appropriate courier arrangements at the customer\u2019s expense. The return location and shipping instructions will be communicated to the customer by the Hectre team. Failure to return the equipment within this timeframe will result in additional charges equivalent to the equipment\u2019s replacement cost, as outlined in the 22.<\/span><i><span style=\"font-weight: 400;\">3. Replacement Costs for Camera Parts<\/span><\/i><span style=\"font-weight: 400;\"> section, or a penalty fee.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><b>Inspection and Assessment<\/b><span style=\"font-weight: 400;\">: Upon return, Hectre will conduct an inspection to assess for any damages or missing parts. Costs for repairs or replacements will be charged based on the parts pricing list.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><b>Outstanding Fees<\/b><span style=\"font-weight: 400;\">: Customers are required to settle any outstanding subscription payments or service fees before the termination process is finalized.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><b>Account Deactivation and Data Handling<\/b><span style=\"font-weight: 400;\">: Upon termination of the subscription, the customer&#8217;s account will be deactivated. This means the customer will no longer have access to the Hectre platform, including any features such as captured photos, graphs, reports, or data within the application.<\/span><ul><li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">All access to historical data, including previously stored images, analytics, and other related outputs, will be restricted after account deactivation.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Hectre may retain the customer\u2019s data securely in company storage for one year after the subscription end date. During this period, no access will be granted to the customer, but the data will remain available for internal purposes or upon a formal request. However, if the subscription is not renewed within one year, all data may be <\/span><b>permanently deleted<\/b><span style=\"font-weight: 400;\"> from Hectre\u2019s systems in compliance with data retention and privacy policies.<\/span><\/li><\/ul><\/li><\/ul><p><b>22.10 General Recommendations<\/b><\/p><p><span style=\"font-weight: 400;\">Hectre is responsible for the initial setup and secure placement of equipment under subscription. Customers are responsible for maintaining a hazard-free environment around the equipment to prevent accidental damage.<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Use components provided or explicitly recommended by Hectre.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Adhere strictly to the protocols in the Maintenance Guide.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Ensure the placement of the camera is secure and free from potential hazards.<\/span><\/li><\/ul><p><b>Note<\/b><span style=\"font-weight: 400;\">: The essence of this policy is to ensure mutual clarity and understanding between Hectre and our valued clients. By being on the same page, we ensure a hassle-free and productive experience for both parties.<\/span><\/p><p><span style=\"font-weight: 400;\">For further queries or assistance, our Support Team is at your service. Let&#8217;s embark on this journey of innovation and growth together, with transparency and trust as our guiding principles.<\/span><\/p><\/li><li><strong>Invoicing:\u00a0<\/strong>We will provide you with valid invoices annually up front for subscription fees due and payable for the following 12 month period. You must pay the subscription fee to the direction of Hectre in cleared funds without any set off or deduction within 7 days following receipt of invoice.\u00a0<strong>You are\u00a0<\/strong>responsible for paying all other external fees and taxes associated with the use of the\u00a0<strong>services<\/strong>\u00a0wherever levied. This includes withholding tax if it applies, unless we already process that withholding tax. We may collect geographical location information to determine your location, which may be used for tax purposes.
